1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PromptTuner ("Company," "we," "us," or "our") concerning your access to and use of our prompt optimization service and website.

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our service.

2. Account Registration and Security

To use certain features of our service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

3. Service Plans and Usage Limits

3.1 Free Plan

• 69 API calls per month
• Daily limit of 3 API calls
• 25,000 character prompt text area limit
• Save up to 3 prompts
• Standard response time

3.2 Pro Plan ($19/month)

• 1,500 API calls per month
• No daily limit
• 25,000 character prompt text area limit
• Unlimited prompt history and analytics
• Faster response time
• Priority support

3.3 Enterprise Plan

Usage limits reset monthly. Exceeding your plan's limits will result in service restrictions until the next billing cycle or plan upgrade.

4. Payment and Billing

All payments are processed securely through Razorpay. By subscribing to a paid plan, you agree to:

• Provide current, complete, and accurate billing information
• Pay all charges at the prices in effect when incurred
• Authorize us to charge your payment method on a recurring basis
• Update your payment information promptly if it changes

Billing Cycle: Subscriptions are billed monthly in advance. Your subscription will automatically renew unless cancelled before the renewal date.

Price Changes: We reserve the right to modify our pricing with 30 days' notice. Continued use of the service after price changes constitutes acceptance of the new prices.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your account will automatically downgrade to the Free plan
• No refunds will be provided for partial months

6. Acceptable Use Policy

You agree not to use our service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without permission
• Resell or redistribute our service without authorization
• Generate content that violates third-party AI provider policies

Violation of this policy may result in immediate suspension or termination of your account.

7. Intellectual Property Rights

Our Content: The service, including its original content, features, and functionality, is owned by PromptTuner and is protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain all rights to the prompts and content you submit to our service. By using our service, you grant us a limited license to process, store, and display your content solely for the purpose of providing our services.

AI-Generated Content: Content generated by our AI models based on your prompts is provided to you for your use. However, AI-generated content may not be eligible for copyright protection under current laws.

8. Disclaimer of Warranties

OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of AI-generated content
• Warranties that defects will be corrected

We do not guarantee that our service will meet your requirements or that AI-generated optimizations will achieve specific results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTTUNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless PromptTuner and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Extended period of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use the service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, or through the courts located in your jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the service after such modifications constitutes acceptance of the updated Terms.
